The Board Paralegal provides support to the Health System and Hospital Boards, related Committees and Legal Services by researching and preparing findings, documents, and correspondence on a variety of legal matters, including compliance with federal, state and local regulations in the conduct of business activities. Additionally, coordinates the legal review of contracts and provides administrative support to internal counsel.

ESSENTIAL FUNCTIONS
An employee in this position may be called upon to do any or all of the following essential functions. These examples do not include all of the functions which the employee may be expected to perform.

  1. Records and maintains electronic files of meeting proceedings of the Health System and Hospital Boards and related Committees, as well as any legal documents emanating from these proceedings.
  2. Maintains a familiarity of the Health System and Hospital Bylaws; serves as a reference regarding provisions of the Bylaws in order to ensure compliance.
  3. In coordination with the Executive Assistant to the CEO, gathers Board/Board Committee meeting materials; creates meeting agendas and other relevant materials.
  4. Tracks initiatives and action items as they move through Board Committees and Task Forces for approval.
  5. Serves as the organizational contact for obtaining Board documents requested by accreditation and regulatory agencies.
  6. Serves as the custodian of the Corporate Seals and attests to the execution of resolutions, important contracts and documents.
  7. Conducts legal research on a variety of topics such as precedents, ordinances, and applicable existing Federal/State case law; evaluates, summarizes and presents research findings.
  8. Acts as a system administrator utilizing web-based Health System and Hospital Board administration portal.
  9. Prepares a variety of correspondence and legal documents utilizing technical knowledge of legal formats, terminology, and procedures. 
  10. As requested, will assist with the following: drafts of contract templates; preparing contract reviews for attorneys, ensuring draft contracts are complete and ready for legal review; coordinating contract workflow through e-tracts (an online application).
  11. As requested, may serve as back up for facilitating responses to subpoenas for records (patient, employment, research, etc.) by researching and gathering appropriate information from internal sources and working with counsel to prepare motions.
  12. Provides administrative support for internal counsel by maintaining calendars, taking meeting minutes, and triaging phone calls.
  13. At the discretion of the General Counsel or Deputy General Counsel, may serve as first point of contact for Legal Services, providing information and guidance to internal and external stakeholders on internal legal and contracting processes and procedures.
  14. May provide support and coordination for the Medical Legal Partnership, which connects patient families with legal support for a variety of issues (e.g. housing, Medicaid, transportation, etc.).
  15. Provides notary services for the execution of the organization’s legal documents.

MINIMUM QUALIFICATIONS

  • Education:  Associate degree is required.
  • Experience:  Minimum of five (5) years of related experience in a law firm or corporate legal setting is required.
  • Equivalency:  Minimum of two (2) years of professional experience may be considered in lieu of an Associate degree.
  • Certification(s):  Paralegal Certification approved by the American Bar Association is required.
  • Licensure(s):  Licensure as a Notary Public in the state of Colorado is required.
